Welcome to Easybud (“App”) and https://auction.myeasybud.com(“website”) These Terms and Conditions (“Terms”) govern your access to and use of our website and mobile application, which provides a platform for buying and selling personal property and chattels, i.e.: Vehicles, Land, Buildings (Homes, Offices, etc.), Wristwatches, Phones, Laptops, Washing Machines, Hair Dryers, Tires, Jewelry, and other household items or property. By downloading, installing, registering, and signing up to our website or App, you acknowledge you have read, understood, and agree to comply with and be bound by these Auction Terms. If you do not agree, please refrain from using the Platform.

BY USING THE SITE AND SERVICES, YOU ACKNOWLEDGE THAT YOU ARE AT LEAST EIGHTEEN (18) YEARS OF AGE, YOU HAVE READ AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS, AND EXPRESSLY CONSENT TO EASYBUD’sPRIVACY NOTICE. IF YOU DO NOT AGREE TO BE SO BOUND, DO NOT ACCESS THE SITE OR USE ANY PRODUCTS.

• Definitions
  • “App”: The mobile application operated by Easybud, facilitating a marketplace for buyers and sellers of general household items, and other personal chattels.
  • “User”: Any individual or entity using the App, including Sellers and Buyers.
  • “Seller”: A user who lists an item em for sale on the App.
  • “Buyer”: A user who uses the App to purchase item.
  • “Transaction”: Any sale or purchase agreement facilitated through the Platform.
  • “Chattels”: Includes any Washing Machine, Phone, Laptop, Wristwatch, Jewelry, Vehicles
  (Car, Van, Trailer, Motorcycle, Lorry, Caravan) and generally each and every accessory to and component thereof and any other item approved for sale
  • “Personal Property”: includes any piece of Land, House or Building.
• User Eligibility

  To use the Platform, you must:

  • Be at least 18 years old.
  • Have the authority to enter into legally binding agreements.
  • Comply with all applicable laws and regulations.
• Role of the Platform
  • Intermediary Only: Easybud acts solely as an intermediary (Auctioneer), providing a digital space for Sellers to list items and Buyers to browse and transact. Easybud is not a party to any sale or purchase agreement between Users.
  • No Guarantee: Easybud does not guarantee the accuracy, quality, legality, or authenticity of listings or transactions.
• User Accounts
  • Registration: Users must create an account to access certain features. You are responsible for maintaining the confidentiality of your account credentials.
  • Account Suspension: Easybud reserves the right to suspend or terminate accounts for breach of these Terms or fraudulent activity
• Listings & Transactions
  • Seller Obligations:
    • Provide accurate and complete information about the item or property as listed above.
    • Ensure the item or property is free from undisclosed liens or encumbrances.
    • Update the information on your listed item to maintain its truthfulness, accuracy, and completeness.
    • To immediately change data for access to the platform if you have a suspicion that your Account details were disclosed or probably used by third parties.
    • Notify Easybud of any unauthorized access to your Account.
  • Buyer Obligations:
    • Conduct due diligence before purchasing any items or property.
    • Confirm the authenticity of the Seller’s claims and documents.
  • Fees:
    • Easybud may charge transaction or listing fees, disclosed to Users in advance.
    • You are eligible using our payable services upon satisfactory registration on our website and Mobile App.
    • The fees we charge for using payable services and payment methods accepted by us are disclosed on the platform.
    • We reserve the right, in our sole discretion, to change the fees and acceptable payment method from time to time and for any reason.
    • Unless otherwise explicitly provided by mandatory rules of the applicable law, the fees are non-refundable due to the nature of online services.
    • Your payments for the services are governed by the Billing policy (https://myeasybud.com/billing-policy)
• THE CONDUCT OF AUCTIONS AND OUR OBLIGATIONS
  • Our Auctions are all conducted online via our website or Mobile App.
  • You agree that You will comply with our Website and Mobile App terms of use and with any policies or notifications we may post on the Website or Mobile App at any time.
  • Easybud may:
    
    • withdraw an Item from an Auction at any time, including after any bid has been made;
    • refuse to accept any bid from You;
    • refuse to allow You to participate in any Auction;
    • sell an Item by private treaty before or after an Auction whether or not a bid has been made but before it has been accepted by the Seller.
  • If you make a bid for an Item, you may not withdraw the bid unless Easybud expressly agrees with you that you can do so.
  • In the event that a bid is accepted by the seller, the sale shall be binding on both parties subject to payment and delivery of the item or property. Such delivery shall be made within 2 to 7days.
  • Once a listing has been successfully auctioned, the seller is required to allow the buyer to verify the authenticity of the property or item sold before the transfer of funds. During this period the buyer is entitled to publish notices in national newspapers and seek verification from private or public bodies.
  • The buyer is responsible for ensuring that the description and details of an item offered for sale (Auction) is read and understood. This includes reading and following any information or conditions in the listings that Easybud may publish before or during the Auction. (Clause 6.7)
  • With reference to clause 6.7, Easybud shall not be liable for any transaction that does not meet the buyer or user's expectations or if the buyers fail to conduct proper verification or loses any claim to the item or property after the sale has been completed.
  • The parties agree that Easybud shall be indemnified against any and all loss occasioned through their use of our Website and Mobile App
• Delivery
  • Easybud’s services may or may not include storage, packing, or delivery. Where the User is successful in purchasing any item, it is the User's responsibility to arrange for any packing and delivery. Upon purchase, the item will be at the User's risk or at the Seller's risk pending delivery as the User and Seller may agree.
  • Upon a successful bid on an approved item, Easybud may, at its discretion, provide the option of delivery arrangements to the buyer.
• Payments
  • The successful bidder or buyer will pay once a contract has been entered;
    
    • The amount of the users bid
    • Any buyer’s premium and other fees or charges noted in the ad
    • VAT upon the above at the prevailing rate at the time of purchase
  • Refunds and Disputes: Refunds and disputes are governed by agreements between Buyers and Sellers. Easybud may assist in dispute resolution at its sole discretion.
• Disclaimer and Liability
  • No Warranty: The App & website is provided on an “as is” and “as available” basis, without warranties of any kind either express or implied. Easybud does not warrant that the App & website will be uninterrupted, error-free, or secure
  • Limitation of Liability: Easybud, its subsidiaries and affiliate, and their respective owners, employees, agents, contractors, and third-party licensors shall in no event be liable for any damages or losses. Including, without limitation, direct, indirect, consequential, special, incidental, or punitive damages, resulting from or caused by the App, its content, these Terms, or otherwise (including, without limitation, Amges resulting from negligence)
  • In no event will the aggregate maximum liability of Easybud, its subsidiaries and affiliates and their respective owners, employees, agents, contractors, and third-party licensors for any claim exceed N10,000.00
  • User shall be solely responsible to collect and remit any applicable taxes resulting from the sale of their goods or services posted on the platform
  • Easybud shall not be liable for:
    
    • Losses arising from transactions between Buyers and Sellers.
    • Errors, omissions, or inaccuracies in item and property listings.
    • Any indirect, incidental, or consequential damages.
• Prohibited Activities
  • The Users agree not to;
    
    • List stolen or counterfeit items or property.
    • Engage in fraudulent, illegal, or deceptive activities.
    • Violate intellectual property or privacy rights.
    • Post on the platform announcements that include:
      • Personal or identifying information about minors or other persons without the proper consent;
      • Pornographic, overtly sexual materials;
      • Depictions that encourage illegal or reckless use of weapons and dangerous objects, or facilitated the purchase of firearms of ammunition;
      • defamatory, discriminatory, mean-spirited, threatening or harassing, improper, unacceptable materials, vulgar or abusive language;
      • counterfeit and imitated goods or unauthorized copies. Unauthorized copies include also goods having been acquired by illegal means, pirated or stolen; and
      • Counterfeit and imitated goods or unauthorized copies. Unauthorized copies include also goods having been acquired by illegal means, pirated or stolen direct or indirect references to any other web sites, references, or information about websites competing with the Platform.
• User-Generated Content
  • User Materials: By submitting ads, content, photos, data, or other materials (“Materials”) to the App & website , you hereby grant Easybud and its affiliates and subsidiaries a royalty-free, perpetual, irrevocable, non-exclusive, fully transferable, fully sublicensable right and license to copy, modify, display, distribute, perform, create derivative works from, and otherwise use and exploit all such Materials in any form, media, software, or technology of any kind now existing or developed in the future.
  • Grant of Rights: You further grant Easybud and its affiliates and subsidiaries a royalty-free right and license to use your name, image, and likeness in connection with the reproduction or distribution of the Materials.
  • Moral Rights Waiver: You hereby waive your “moral rights” in your submissions, to the extent such rights can be waived, under any existing or future law of any jurisdiction.
  • Representations and Warranties: By submitting Materials, you represent and warrant that:
    
    • You own or otherwise control all rights to the Materials you post and/or submit.
    • The Materials are true and accurate.
    • The use of the Materials you post and/or submit does not violate these Terms and Conditions.
    • The Materials will not cause injury to any person or entity
    • You shall not post on the Platform announcements that include:
      • false, misleading or deceptive statements;
      • defamatory, discriminatory, mean-spirited, threatening or harassing, improper, unacceptable materials, vulgar or abusive language;
      • advocacy of hate, violence, discrimination, racism, xenophobia, ethnic conflicts;
      • appeals to violence and unlawful actions;
      • offers of prostitution or other services contradicting moral or legal norms;
      • services, provision of which is prohibited by the applicable law;
      • information of solely promotional nature with no offers of specific goods or services;
      • counterfeit and imitated goods or unauthorized copies. Unauthorized copies also include goods having been acquired by illegal means, pirated or stolen; and
      • direct or indirect references to any other websites, references, or information about websites competing with the Platform;
    • You shall not use software and pursue any other actions aimed to interference with the normal operation of the Platform;
    • You shall not promote or distribute unsolicited commercial emails, chain letters, Ponzi schemes through the Platform or by any other means towards other users of the Platform;
    • You shall not copy, modify, distribute any other User Content without consent of the respective user;
    • You shall not harvest or otherwise collect information about users, including email addresses, phone numbers, without their consent or otherwise violate the privacy of another person;
    • You shall not download, store, post, distribute and provide access to, or in any other way use worms, viruses, trojans, and other malware;
    • You have a legal title to the items offered for sale in your announcement; and
    • You have the necessary license or are otherwise authorized, as required by applicable law, to offer for sale, to advertise, and distribute goods described in your announcement.
  • Limitation of Responsibility: Easybud takes no responsibility and assumes no liability for any Materials posted by you or any third party
• INTELLECTUAL PROPERTY

  Easybud and its content, including trademarks, logos, and software, are the intellectual property of Easybud. Users may not reproduce, distribute, or create derivative works without prior written consent. See Easybud’s User Terms

• Privacy Policy

  User data is collected, used, and stored in accordance with our Privacy Policy. See Easybud’s User Terms

• Termination

  Easybud may suspend or terminate your access for violating these Terms or applicable laws, with or without notice. See Easybud’s User Terms

• GOVERNING LAW AND DISPUTE RESOLUTION
  • Governing Law: These Terms are governed by the laws of Federal Republic of Nigeria.
  • Dispute Resolution: Dispute shall be resolved through arbitration or mediation as agreed by the parties.
• CHANGES TO THESE TERMS

  Easybud reserves the right to update these Terms at any time. Continued use of the Platform signifies your acceptance of the revised Terms.
